From term sheet to IPO

We help you raise capital with confidence

At Capital Partners Law, we represent companies seeking venture capital — guiding them from term sheet to IPO. We established our Florida venture capital practice to support young, emerging companies and startups through the corporate growth process, serving as general counsel and assisting them through every stage of the capital-raising process.

Whether you’re closing a first pre-seed check or preparing for a public offering, the legal architecture of a raise shapes everything that follows — how much control you keep, how the next round prices, and how cleanly you can eventually exit. We translate dense investor documents into plain terms, flag the provisions that matter, and help you negotiate from a position of understanding.

Our attorneys guide South Florida companies through seed rounds, priced Series A financings, SAFE and convertible-note raises, and the diligence that precedes an acquisition or IPO.

Funding your growth

Capital-raising counsel for emerging companies

When you’re seeking a capital raise and bringing a new company to market, it’s vital to retain counsel well-versed in Florida business law. Rapid advances in technology have fundamentally altered the economy, opening significant private and public capital for corporate growth — and we help you access it.

Today’s founders can tap a wider range of capital than ever — institutional venture funds, strategic corporate investors, family offices, and private placements among them. Each source carries its own expectations, documentation, and regulatory footprint under federal and Florida securities law.

We help you match the right capital to your stage, structure the offering to stay compliant, and present a clean, investor-ready company so rounds close faster and on stronger terms.

Built for emerging companies

From your first raise to going public

We know your time is valuable. Emerging companies face competition, high stakes, time-to-market pressure, and budget constraints. We work as efficiently as possible to help you reach your next growth level, striving to understand your business and provide tailored recommendations and counsel at every engagement.

Early-stage companies rarely have time or budget to spare, so we work like an extension of your team rather than an outside cost center. We give you clear, practical answers, predictable engagement terms, and counsel that scales as you grow — handling the corporate housekeeping, contracts, and intellectual-property protection investors expect to see in diligence, so you can stay focused on building.

The right structure

Creative financing solutions

We draw on extensive knowledge of business, finance, IP, and real estate to help clients obtain financing — including creative structures such as preferred stock issuances, private placements of limited-partner equity interests, subordinated debt, and debt instruments with equity-participation features.

How a financing is structured determines its tax treatment, its effect on your cap table, and the rights each investor walks away with. We match the instrument to the moment — preferred equity when investors want downside protection, convertible notes or SAFEs when speed matters, and hybrid structures when a deal has to bridge competing priorities.

Because our attorneys also handle the tax, intellectual-property, and real-estate dimensions of a transaction, we can surface issues a financing-only lawyer might miss.

Frequently Asked Questions

What is venture capital financing?+
Venture capital financing is investment provided to high-growth companies in exchange for equity. It is typically raised in stages — pre-seed, seed, Series A, and later rounds — and involves term sheets, equity or convertible instruments, and negotiated investor rights.
What is a term sheet?+
A term sheet outlines the key terms of a proposed investment — valuation, amount, type of security, board and voting rights, and investor protections — before the definitive financing documents are drafted. Most of it is non-binding, but it sets the framework for the entire deal.
What's the difference between a SAFE and a convertible note?+
Both convert into equity in a later round, but a convertible note is debt (with interest and a maturity date), while a SAFE (Simple Agreement for Future Equity) is not. Each affects timing, dilution, and investor rights differently.
What's the difference between a priced round and a SAFE or note round?+
A priced round sets a company valuation now and issues equity — usually preferred stock — at that price. SAFEs and notes defer the valuation to a future round, which can be faster and cheaper to close but adds complexity to your cap table later.
Do I need a lawyer to raise venture capital?+
You are not required to, but venture financings involve securities laws, negotiated investor rights, and documents that shape control and economics for years. Experienced counsel helps you understand what you are signing and negotiate terms before they are locked in.
How much equity do founders typically give up in a round?+
It varies widely by stage, traction, and investor. Seed and Series A rounds often involve giving up a meaningful minority stake, but thoughtful structure and negotiation can help protect founder ownership and control. We help you model dilution before you commit.
What investor rights are commonly negotiated?+
Common terms include board composition, protective provisions (veto rights over major decisions), pro-rata rights, liquidation preferences, anti-dilution protection, and information rights. Which ones matter most depends on your goals and your leverage.
What is a cap table and why does it matter?+
A capitalization table records who owns what — founders, employees, and investors — and how much. Keeping it clean and accurate is critical: it drives dilution math, investor diligence, and every future financing or exit.
Can you help with securities-law compliance?+
Yes. Most private raises rely on exemptions from securities registration, such as Regulation D. We help structure your offering, prepare the right documentation, and keep your raise compliant with federal and Florida securities requirements.
